Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Host", or "Guest") and InviteBox Inc. ("InviteBox", "we", "us", or "our").

By creating an account, selecting a template, customizing invitations, sending event dispatches, or submitting RSVP responses, you certify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

• Age Requirement: You must be at least 16 years of age (or the legal age of majority in your jurisdiction) to establish an account or purchase paid services.
• Account Accuracy: You agree to provide accurate, current, and complete registration details and maintain the security of your authentication credentials.
• Account Responsibility: You are solely responsible for all activities and invite distributions initiated under your account. You must notify us immediately if you suspect unauthorized access.

InviteBox grants you a limited, non-exclusive, non-transferable, revocable license to access our platform for the purpose of designing, publishing, and managing digital invitations and event attendee interactions.

Your Content: You retain complete ownership of all text, images, logos, audio tracks, and media you upload to InviteBox ("User Content"). By uploading User Content, you grant InviteBox a worldwide, royalty-free license solely to host, render, cache, and transmit such content to your invited guests.

InviteBox IP: All proprietary design themes, typography curation, software code, UI animations, trademarks, and artwork created by our design lab remain the exclusive intellectual property of InviteBox.

You agree not to use InviteBox to:

• Send unsolicited spam invitations, bulk phishing links, or promotional commercial blasts to individuals who have not consented to receive event updates.
• Upload or distribute content that is defamatory, obscene, sexually explicit, hateful, harassing, or in violation of intellectual property rights.
• Attempt to reverse engineer, decompile, crawl, or scrape any part of our platform or APIs.
• Misrepresent your identity or impersonate another person, organization, or brand in an invitation headline.

Violations of our acceptable use guidelines may result in immediate suspension of the event invitation and termination of the host account without refund.

Billing: Premium invitation packages and designer tier services are billed upon checkout or on a recurring subscription basis as displayed on our pricing portal. All monetary values are listed in USD unless otherwise specified.

When distributing invitations via email or SMS, you represent and warrant that:

• You have a personal, organizational, or prior relational relationship with each guest recipient.
• You will honor unsubscribe or "STOP" opt-out requests instantly.
• You will not upload purchased, scraped, or publicly harvested third-party phone lists.

InviteBox automatically embeds one-click opt-out footers on all transactional dispatch emails to protect recipient rights.

Our services may contain links or direct integrations with third-party platforms (e.g. Google Maps for venue routing, Spotify for wedding playlists, Apple/Google Calendar for date saving, and Stripe for payments). InviteBox is not responsible for the availability, terms, or privacy policies of third-party platforms.

THE PLATFORM AND ALL DESIGN TEMPLATES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. INVITEBOX DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for 99.9% uptime, we do not warrant that invitation delivery will be uninterrupted, error-free, or entirely exempt from external telecom carrier SMS filtering delays.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVITEBOX, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, OR EVENT DISRUPTIONS) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO CASE SHALL INVITEBOX'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO INVITEBOX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD.

You agree to defend, indemnify, and hold harmless InviteBox, its affiliates, and contractors from and against any claims, liabilities, damages, judgments, and expenses (including reasonable attorney fees) arising out of or related to your User Content, your event communications, or your breach of these Terms.

You may terminate your account at any time by closing it via your dashboard settings or emailing customer support. InviteBox reserves the right to suspend or terminate accounts that engage in fraudulent behavior, abuse, spam distribution, or non-payment.

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute or claim arising out of these Terms shall be resolved through good-faith informal negotiations first, and if unresolved, through binding individual arbitration administered by the American Arbitration Association (AAA) in New York, NY.

We reserve the right to revise these Terms at any time. When material revisions are made, we will provide at least 15 days advance notice via email or prominent site notice. Your continued use of InviteBox following the effective date of revised Terms constitutes full acceptance.
